TERMS & CONDITIONS

These Terms & Conditions (“Terms”) govern your access to and use of ContaQ Live, including the ContaQ Live website, web application, mobile applications, software, communication services, calling functionality, APIs, and related services (collectively, the “Service”).
The Service is operated by:
Skrumble Technologies, a proprietorship concern owned and operated by Rahul Shandilya, having Udyam Registration Number UDYAM-DL-03-0085948 (“Skrumble Technologies”, “ContaQ”, “we”, “us”, or “our”).
By accessing, registering for, installing, or using ContaQ Live, you acknowledge that you have read, understood and agreed to these Terms and our Privacy Policy.
If you do not agree to these Terms, you must not access or use the Service.
1. ABOUT CONTAQ LIVE
ContaQ Live is a communication platform that may enable users to initiate, receive, participate in and manage real-time communications, including voice and/or video communications and other functionality made available by ContaQ from time to time.
Features may include, without limitation:
- voice and video communication;
- real-time calling;
- user profiles and account functionality;
- contact or communication identifiers;
- call signalling and connection services;
- notifications;
- links or invitations to communicate;
- analytics and service-performance monitoring;
- security and abuse-prevention mechanisms; and
- other communication-related features introduced by ContaQ.
ContaQ may modify, suspend, replace or discontinue any feature at any time.
2. ELIGIBILITY
You may use ContaQ only if you are legally capable of entering into a binding agreement under applicable law.
If you are using ContaQ on behalf of another person, organisation, company or other legal entity, you represent that you have authority to bind that entity to these Terms.
You are responsible for ensuring that your use of ContaQ complies with all laws applicable to you.
3. ACCOUNT REGISTRATION
Certain features require you to create an account.
You agree to:
- provide information that is accurate and not misleading;
- keep your account information reasonably current;
- maintain the confidentiality of your authentication credentials;
- take reasonable steps to prevent unauthorised access to your account;
- immediately notify ContaQ if you suspect unauthorised access; and
- accept responsibility for activity occurring through your account, except where caused by ContaQ's proven fault or unauthorised access attributable to ContaQ.
You must not create an account using another person's identity or information without lawful authority.
ContaQ may refuse, suspend or terminate accounts where information appears fraudulent, misleading, unlawful or otherwise inconsistent with these Terms.
4. USER RESPONSIBILITY
You are solely responsible for your use of the Service and for your communications and conduct through the Service.
You must use ContaQ lawfully and responsibly.
You must not use ContaQ to:
- commit, facilitate or encourage any criminal offence;
- threaten, harass, stalk, intimidate or abuse another person;
- impersonate another person or entity;
- deceive, defraud or scam another person;
- distribute malware, viruses or malicious code;
- interfere with or disrupt the Service;
- attempt to gain unauthorised access to ContaQ systems;
- reverse engineer, decompile or otherwise attempt to derive source code except to the extent expressly permitted by applicable law;
- circumvent security or access controls;
- conduct automated scraping or unauthorised data collection;
- send spam or unsolicited bulk communications;
- transmit content that you do not have the legal right to transmit;
- violate another person's privacy;
- transmit unlawful, obscene, sexually exploitative or otherwise prohibited material;
- exploit or endanger children;
- infringe copyright, trademark, patent, trade-secret, privacy, publicity or other rights;
- facilitate money laundering, fraud, terrorism or other unlawful activities;
- use the Service to make unlawful recordings or intercept communications;
- manipulate, abuse or interfere with call-routing, signalling or other technical mechanisms;
- overload, attack or attempt to impair ContaQ infrastructure;
- use the Service for emergency calling or as a substitute for emergency services; or
- otherwise use the Service in violation of applicable law.
ContaQ may take reasonable measures to investigate suspected violations and may suspend or terminate access where reasonably necessary.
5. COMMUNICATIONS AND CALLING
ContaQ provides communication technology and infrastructure.
ContaQ does not guarantee that every attempted communication will successfully connect, remain connected, have a particular audio or video quality, or be available at all times.
Call quality may depend on factors outside ContaQ's control, including:
- internet connectivity;
- mobile networks;
- Wi-Fi;
- device capabilities;
- operating-system restrictions;
- browser behaviour;
- network congestion;
- firewall or NAT configuration;
- third-party infrastructure;
- power availability; and
- geographic or regulatory restrictions.
A failed, interrupted, delayed or degraded communication does not necessarily constitute a failure of the Service.
6. NOT AN EMERGENCY-CALLING SERVICE
CONTAQ IS NOT AN EMERGENCY COMMUNICATION SERVICE.
Unless expressly stated otherwise by ContaQ in writing, ContaQ must not be relied upon to contact police, ambulance, fire services, disaster-response services or any other emergency service.
You must maintain access to appropriate emergency communication facilities independently of ContaQ.
7. USER CONTENT AND COMMUNICATIONS
Depending on the features you use, ContaQ may process information or content generated, submitted, transmitted or otherwise made available by you or other users (“User Content”).
You retain ownership of User Content to the extent you legally own it.
By using the Service, you grant ContaQ a limited, non-exclusive, worldwide, royalty-free licence to host, store, process, transmit, reproduce and technically handle User Content only to the extent reasonably necessary to operate, secure, maintain and improve the Service and comply with law.
ContaQ does not obtain ownership of your User Content merely because you use the Service.
You represent that you have all rights, permissions and lawful authority necessary for User Content you submit or transmit through ContaQ.
8. CALL RECORDING AND CONSENT
ContaQ may introduce or provide features that enable recording, transcription, storage or other processing of communications.
Where such functionality is available:
- the person initiating or controlling a recording is responsible for obtaining all legally required permissions and consents;
- users must not use recording functionality unlawfully;
- users must comply with applicable privacy, interception, telecommunications and recording laws;
- ContaQ may provide technical indicators or notifications where appropriate, but such technical indicators do not relieve users of their legal obligations.
Users are solely responsible for determining whether recording or transmitting a particular communication is lawful.
9. PRIVACY
Your use of ContaQ is also governed by our Privacy Policy, which explains how we collect, use, disclose, retain and protect personal data.
The Privacy Policy forms part of these Terms.
10. THIRD-PARTY SERVICES
ContaQ may depend upon or integrate with third-party services, including hosting providers, cloud infrastructure, analytics providers, authentication providers, notification providers, telecommunications networks, payment processors, app stores and other technology providers.
ContaQ does not control third-party services and is not responsible for their independent acts, omissions, availability, security practices or policies.
Your use of third-party services may also be subject to their separate terms and privacy policies.
11. SERVICE AVAILABILITY
ContaQ is provided on an availability-dependent basis.
We do not guarantee:
- uninterrupted availability;
- error-free operation;
- uninterrupted connectivity;
- compatibility with every device or browser;
- permanent availability of any feature;
- preservation of every item of data;
- uninterrupted access to your account; or
- that the Service will satisfy every particular requirement.
Maintenance, upgrades, security incidents, infrastructure failures, third-party failures, regulatory requirements and circumstances beyond our reasonable control may affect availability.
12. SECURITY
ContaQ implements reasonable technical and organisational measures intended to protect its systems and information.
However, no internet service, network, device, storage system or transmission method can be guaranteed to be completely secure.
You acknowledge that:
- communications over the internet may involve inherent risks;
- no security measure can provide an absolute guarantee;
- you are responsible for securing your own device and account; and
- you should not transmit information through ContaQ unless you are comfortable doing so under the applicable security and privacy conditions.
If ContaQ becomes aware of a security incident requiring notification under applicable law, ContaQ will take steps required by applicable law.
13. INTELLECTUAL PROPERTY
The Service, including its software, source code, object code, architecture, design, interfaces, trademarks, logos, graphics, text, documentation and other proprietary materials, is owned by or licensed to Skrumble Technologies.
Except as expressly permitted by law or these Terms, you must not:
- copy;
- reproduce;
- modify;
- distribute;
- sell;
- lease;
- sublicense;
- reverse engineer;
- create derivative works from;
- commercially exploit; or
- otherwise misuse
any portion of the Service or its underlying technology.
“ContaQ”, “ContaQ Live” and associated branding are proprietary marks of Skrumble Technologies to the extent protected by applicable law.
14. FEEDBACK
If you provide suggestions, ideas, feature requests, bug reports or other feedback, you grant Skrumble Technologies a worldwide, perpetual, irrevocable, royalty-free right to use, reproduce, modify and incorporate that feedback into its products and services without compensation or attribution, subject to applicable law.
15. SUSPENSION AND TERMINATION
ContaQ may suspend, restrict or terminate your access to the Service where reasonably necessary, including where:
- you violate these Terms;
- your activity creates a security or legal risk;
- your account is associated with fraud, abuse or unlawful activity;
- required by law or governmental authority;
- continued access could harm other users or ContaQ;
- the Service is discontinued; or
- reasonably necessary to protect the integrity of the Service.
Where reasonably practicable, ContaQ may provide notice before termination, but immediate suspension may occur where delay could create security, legal or operational risk.
You may stop using ContaQ at any time.
Termination does not affect provisions that by their nature should survive termination.
16. DATA AFTER ACCOUNT TERMINATION
Following account deletion or termination, ContaQ may delete or anonymise account information in accordance with its retention policies and applicable law.
Certain information may be retained where necessary for:
- legal compliance;
- fraud prevention;
- security;
- dispute resolution;
- enforcement of agreements;
- accounting or tax requirements;
- regulatory obligations; or
- establishment, exercise or defence of legal claims.
Retention does not mean that retained information will continue to be used for ordinary service purposes.
17. DISCLAIMER OF WARRANTIES
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
SKRUMBLE TECHNOLOGIES DISCLAIMS ALL WARRANTIES, REPRESENTATIONS AND CONDITIONS NOT EXPRESSLY PROVIDED IN THESE TERMS, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AVAILABILITY, RELIABILITY AND ACCURACY.
NOTHING IN THESE TERMS EXCLUDES OR LIMITS ANY RIGHT OR REMEDY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED.
18. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SKRUMBLE TECHNOLOGIES AND ITS OWNER, PERSONNEL, CONTRACTORS AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS, DATA, GOODWILL OR ANTICIPATED SAVINGS ARISING FROM OR RELATING TO YOUR USE OF THE SERVICE.
WITHOUT LIMITING THE FOREGOING, SKRUMBLE TECHNOLOGIES SHALL NOT BE RESPONSIBLE FOR:
- INTERNET OR TELECOMMUNICATIONS FAILURES;
- DEVICE FAILURE;
- THIRD-PARTY SERVICE FAILURE;
- UNAUTHORISED USER CONDUCT;
- LOSS OF COMMUNICATION QUALITY;
- MISUSE OF THE SERVICE;
- USER-GENERATED CONTENT;
- ILLEGAL RECORDING OR INTERCEPTION BY USERS;
- LOSS RESULTING FROM USER CREDENTIAL COMPROMISE; or
- EVENTS OUTSIDE SKRUMBLE TECHNOLOGIES' REASONABLE CONTROL.
To the maximum extent permitted by applicable law, the aggregate liability of Skrumble Technologies arising from or relating to the Service shall not exceed the amount actually paid by you to Skrumble Technologies for the Service giving rise to the claim during the twelve (12) months preceding the event giving rise to the claim.
Nothing in these Terms is intended to exclude liability that cannot legally be excluded under applicable law.
19. INDEMNIFICATION
To the maximum extent permitted by law, you agree to indemnify and hold harmless Skrumble Technologies, Rahul Shandilya, and their personnel, contractors and service providers from claims, losses, liabilities, damages, penalties, costs and reasonable legal expenses arising from:
- your violation of these Terms;
- your unlawful use of the Service;
- your User Content;
- your violation of another person's rights;
- your violation of applicable law; or
- your misuse of recording, communication or other features.
This obligation does not apply to the extent a claim results from Skrumble Technologies' own proven wilful misconduct or liability that cannot legally be indemnified.
20. CHANGES TO THE SERVICE
ContaQ may change, update, suspend or discontinue features or portions of the Service.
Where a change materially affects your rights or obligations, ContaQ may provide reasonable notice where required by law.
Your continued use of the Service after an effective update constitutes acceptance of the updated Terms to the extent permitted by applicable law.
21. CHANGES TO THESE TERMS
We may update these Terms from time to time.
The latest version will be made available through the Service.
Where legally required, we will provide additional notice of material changes.
Your continued use of ContaQ after the effective date of updated Terms constitutes acceptance of those Terms.
22. GOVERNING LAW
These Terms shall be governed by the laws of India.
Subject to applicable mandatory consumer-protection or other laws, disputes arising from or relating to these Terms or the Service shall be subject to the jurisdiction of the competent courts having jurisdiction over New Delhi, India.
Nothing in these Terms prevents a consumer from exercising a mandatory statutory right before a forum or authority having jurisdiction under applicable law.
23. SEVERABILITY
If any provision of these Terms is held invalid, unlawful or unenforceable, that provision shall be enforced to the maximum extent permitted by law and the remaining provisions shall continue in full force and effect.
24. NO WAIVER
Failure by ContaQ to enforce any provision of these Terms shall not constitute a waiver of that provision or of ContaQ's right to enforce it later.
25. ENTIRE AGREEMENT
These Terms, together with the Privacy Policy and any additional terms expressly applicable to particular features, constitute the agreement between you and Skrumble Technologies concerning your use of the Service.

27. ACCEPTANCE
By creating an account, accessing, installing or using ContaQ Live, you confirm that:
- you have read these Terms;
- you understand them;
- you agree to be legally bound by them; and
- you will use the Service in compliance with applicable law.
If you do not agree, do not use ContaQ Live.
